Chapter 04.25 Public Development Authority

Article I. General Provisions

Section 04.25.320 Definitions
  1. “Authority” or “public authority” is the public development authority created by Ordinance C29241 and this chapter.
  1. “Board of directors” or “board” is the governing body vested with management of the affairs of the authority.
  1. “Bonds” means any bonds, promissory notes, interim certificates, debentures, certificates of indebtedness or other obligations issued by the authority pursuant to its charter.
  1. “Bylaws” means the rules for the regulation and management of the affairs of the authority adopted by Article III of this chapter and all amendments thereof.
  1. “Charter” is the articles of organization of the authority adopted by Article II of this chapter and all amendments thereof.
  1. “City” is the City of Spokane.
  1. “City clerk” or “clerk” is the city clerk of Spokane or a person authorized to act on the clerk’s behalf, or in the event of reorganization of the office of the city clerk, the successor official performing such duties or a person authorized to act on such successor official’s behalf.
  1. “City council” or “council” is the body established by Article II of the Charter of the City of Spokane.
  1. “Director” or “directors” means a member or members of the board.
  1. “Government” means the United States, a state, a subdivision or agency of the United States or a state, or a municipality.
  1. “Immediate family” means:
    1. spouse;
    1. dependent parent, parent-in-law, child, son-in-law and daughter-in-law; and
    1. parent, parent-in-law, child, son-in-law, daughter-in-law, sibling, uncle, aunt, cousin, niece and nephew residing in the household of the official or employee of the authority.
  1. “Insolvency” is the inability of the authority to pay debts as they become due in the usual course of its affairs.
  1. “Mayor” is the mayor of Spokane.
  1. “Resolution” means an action of the board with the quorum required by SMC 4.25.100.
  1. “State,” when used as a noun, means the State of Washington.
  1. “Voting membership” is the total number of voting positions on the board as authorized by the charter, whether filled or vacant.
